WeConnect Energy is currently recruiting for a Vice President, M&A for an Energy company based in the UAE.

This will be a full-time staff position based in the UAE on Expatriate terms. 

The jobholder is responsible to lead the strategy and implementation of the Mergers & Acquisitions to enable
short term and long term strategies to support the company’s objectives in line with Owners’ directives.

This role includes; 
Leading the development and implementation of the Mergers & Acquisitions, identifying
and valuing the investment opportunities, while presenting and reporting the M&A proposals to the leadership,
and leading the M&A transactions with the functional heads towards successful integration, and fostering the
business relations towards support the M&A cycle.

KEY ACCOUNTABILITIES
Job Specific Accountabilities
M&A Strategy & Planning
• Devise the M&A strategies based on current company’s portfolio, markets and subsidiaries, and in line
with the company’s long-term strategy.
• Develop, maintain, and continuously improve the M&A policies, practices, tools and processes to maintain
a robust M&A execution model.
• Oversee, plan, and direct all aspects of the Company’s resources to achieve the targeted growth through
mergers, acquisitions, and divestitures.
• Partner with business leaders to identify and develop actionable transactions that fit the business strategy
in line with the overall growth strategies.
• Ensure consistency and progress in the execution of the strategic plans while ensuring properly addressing
the inputs and considerations from the Owners and Leadership.

M&A Screening
• Screen market, industry, technology, and economic trends to identify and recommend M&A opportunities
to unlock new business value.
• Evaluate emerging and new technologies, processes and market trends including the examination of long
term techno-economic impact to incorporate the best strategy in various plans.
• Explore various options for development and operation of new joint-ventures in order to select the best
option and follow up the plan and implementation of the approved options.
• Lead and conduct detailed financial analysis, including financial modelling, development of long-term
forecasts; valuation of the potential business opportunities.
• Evaluate and develop opportunities aimed at future partnership & collaboration in the target areas in line
with downstream strategy.
• Manage shortlisted deal opportunities through the various stages of the deal cycle with the aim of
successful culmination in the form of formal agreements.
M&A Assessment
• Identify, analyze, and determine feasibility of possible mergers and evaluates their potential impact on the
Company’s growth and profitability.
• Lead the valuation, working capital, and other transaction-related financial matters in line with the selected
market and industry inputs.
• Conduct necessary due diligence & market analysis to identify areas of opportunity and recommend deals
that will add value to the company as per the company’s strategies.
• Lead the due diligence process with cross-functional teams (including Finance, commercial, operations,
human resources, information technology, legal, etc.) to complete efficient and effective due diligence of
targets.
• Develop techno-economic feasibility studies of shortlisted projects to deliver growth of economic value from operations and resources.

M&A Awarding & Preparation
• Recommend and present the potential partners for strategic investments, in line with the Investment’s recommendations, to the company leadership for the decision making.
• Present and share the analysis of the high-level business impacts and risks for the upcoming M&A Actions to ensure readiness by all respective functional heads and respective process owners in the company; i.e. involving the Legal Department, ensuring all the regulatory aspects of a transaction have been considered,
• Build up the communication channels and the desired business relations with the owners and representatives of the potential M&A, and participate in the negotiations.
• Ensure preparation of concise, accurate due diligence reports and lead development of plans to mitigate
identified risks. While aligning the Marketing Communications’ strategies and plans with the Global Communications.
• Prepare the communications and reports to the Leadership and Board, the investment proposals and recommendations.
• Project managing transactions, driving the agenda, understanding key business drivers identifying key issues and risks
• Engage and work constructively with internal & external parties and stakeholders to achieve alignment
throughout the deal process.

Acquisition Process
• Manage the entirety of the investment process including origination, valuations, structuring, risks, due diligence, negotiation and business case assessment
• Lead the transaction process from A to Z, including operational due diligence, synergy review, and “dayone” readiness assistance.
• Develop and executing transaction strategies and advice the board on evaluating strategic alternatives
and securing deal value, while managing cross-functional teams through the transaction process.
• Maintain a balance between time & resource management in the context of the best approach for successful deal finalization.
• Lead and drive all aspects of M&A transactions while working closely with cross-functional teams to organize and execute transactions
• Lead transaction execution across the entire deal life cycle, and partner with business leaders and cross-functional teams for the successful execution of M&A projects
• Support the post-merger integration activities and work closely with the post-acquisition team to ensure effective post-acquisition plan management and day-to-day activities.
• Responsible for portfolio management and post investment tracking, and the integration of new acquisitions and carving out key drivers.
